Well, Vash has an automatic disadvantage of not wanting to kill anybody. So, to make things even, lets say that both Vash and Grave agreed before the match not to kill each other, but to beat the crap out of each other by whatever means necessary until somebody passes out.
They both have about the same amount of skill with a gun. So on that point they're even. Grave does have a two guns vs one advantage, but that's never stopped Vash from taking out other guys with multiple or huge weapons, so I don't think it makes much of a difference.
Hand to hand combat wise, they're probably pretty equally skilled. However, I think Grave would pack a heavier punch.
Vash has a definate speed/agility advantage. Even when not carrying his coffin around, Grave seems pretty slow on the move.
Grave can take a hell of a lot more damage than Vash. Vash may not exactly be human and can take a lot more punishment than your average joe, but Grave is on a whole other level with this one. Anime or games, Grave gets shot up all the time and it never seems to faze him in the least.
Strongest Attacks
Vash -- "Angel Arm Cannon"
Vash's gun and arm transforms into a large energy cannon. This thing blows everything within radius to sweet oblivion in one shot. Grave certainly isn't fast enough to get out of the way of something like that in time and it'd surely destroy him even with his high stamina. His only real option would be to counter with his own strongest attack.
Grave -- "Cerberus Overdose"
Part of Grave's coffin flips out and he slides his two Cerberus guns into the slots, a second something flips out and attaches to them. Grave now holds what looks like the Cerberus guns only they're about ten times bigger than normal, the coffin acts like a generator and sends a large amount of power into the guns. He fires both shots at once, producing a massive blast that annihilates anything in it's path.
By comparision, Grave's shot is awesome, but Vash's attack still seems a lot more powerful. So my basic thoughts here are that the match would be pretty even throughout much of the fight, just like in Vash Vs. Knives. After almost completely exhasting one another, they'd go to their last resorts and fire their ultimate attacks. Though still pretty even, I'd have to say Vash's attack is going to overcome Grave's. Thus taking Grave out and announcing Vash as the winner.
But those are just my thoughts XP feel free to disagree ^.^

You make a good argument.
I would say that Grave would win if they were fighting with just fists, cause as you seen in the episodes, Grave has some kind of super-human streangth and he would be able to take Vash down, even though Vash does have spped and agility on his side, he would have to get close to Grave sooner or later.
But if they both used their ultimate attacks, I would have to say that Vash would win that, I mean come on, he blasted a huge a** crater in the moon. But there is a chance that it wouldn't affect Grave so much, cause if you think back to the episode where Vash was fighting Raidei the Blade, Vash used the Angel Arm and fired it upward and Raidei survived because of that. So if Vash actually fought Grave, then it is probably safe to say that Vash would do the same thing by firing the Angel Arm upward.
But I'm thinking, if Grave is already "dead" then would that count as "killing"
Do you think Vash would figure that?
Those are my thoughts. Nice topic ^^
